Commercial Terms & Conditions

1. Company Identification & Scope

These Commercial Terms & Conditions apply to business enquiries, requests for quotation, wholesale orders and other commercial transactions involving Silver Sky Import Export FZE LLC, Registration No. 262879168888, with its company address at BC-890311, 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates.

Silver Sky operates as a business-to-business trading company. Unless expressly agreed otherwise in writing, products and services offered through the website are intended for business, wholesale, reseller or other commercial customers.

These terms should be read together with any quotation, invoice, order confirmation, warranty terms, return terms or other transaction-specific document issued or accepted in connection with an order.

2. Website Information & Product Listings

Product listings, descriptions, photographs, specifications, grades, quantities and prices displayed on the Silver Sky website are provided to assist business customers with enquiries and purchasing decisions.

Electronics inventory can change as products are sold, reserved, purchased or added to available stock. Information displayed on the website should therefore be confirmed before an order is finalized.

A product appearing on the website does not by itself guarantee that a particular quantity remains available or has been reserved for a customer.

3. Requests for Quotation & Enquiries

Customers may submit requests for quotation through the website, by email, WhatsApp or another communication method accepted by Silver Sky.

An RFQ, website enquiry or request for pricing is a request for commercial information and does not by itself create a binding obligation on Silver Sky to supply the requested products.

Quotations may be based on the product information, quantity, condition, destination and other requirements available at the time the quotation is prepared.

Where a quotation specifies a validity period, that validity period applies to the quotation. Availability and commercial terms may need to be reconfirmed if the quotation expires or the requested order changes.

4. Orders & Acceptance

Adding products to an RFQ, submitting an enquiry, requesting a quotation or communicating an intention to purchase does not automatically constitute acceptance of an order.

An order is subject to confirmation of the relevant products, quantities, specifications, condition, price, payment arrangements, shipping or collection requirements and any other applicable commercial terms.

Silver Sky may request additional information before confirming a transaction where clarification is required regarding the products, customer, destination or commercial arrangements.

5. Pricing

Prices displayed on the website or provided during an enquiry should be read together with the applicable product information and commercial terms.

Final pricing may depend on factors including the product, specification, condition, grade, quantity and other transaction requirements.

The price applicable to a confirmed transaction will be the price stated in the relevant accepted quotation, invoice, order confirmation or other agreed commercial document.

6. Payment

Payment requirements, payment currency, bank details, payment schedule and any applicable deposit or balance requirements will be stated or agreed in connection with the relevant transaction.

Customers should make payments only using payment instructions provided or confirmed through Silver Sky's authorized business communications.

Unless otherwise agreed in writing, an order may remain subject to payment confirmation before products are released, collected or shipped.

7. Product Condition & Grading

Silver Sky may trade in pre-owned, refurbished, open-box and other electronics depending on the stock available at the relevant time.

Where a product is assigned a condition or cosmetic grade, the grade is intended to provide general information about the condition of that stock. Customers should also review the applicable product description, specifications and other information supplied for the particular inventory.

Products within the same general grade may not necessarily be identical in every cosmetic characteristic, specification, battery characteristic, included accessory or other product detail.

Where information supplied for a particular batch or order differs from a general grade description, the information specifically supplied for that transaction should be reviewed before the order is confirmed.

8. Stock Availability & Quantities

Electronics inventory may change frequently. Quantities displayed on the website or discussed during an enquiry should be confirmed when the transaction is being finalized.

Website inventory information does not automatically reserve products for a customer. Reservation or allocation of stock is subject to the terms agreed for the relevant transaction.

If the requested stock is no longer available, Silver Sky may discuss alternative products or quantities where appropriate, but is not required to substitute products unless agreed with the customer.

9. Shipping, Collection & Delivery

Collection, delivery and international shipping arrangements are determined according to the requirements of the particular transaction.

Relevant factors may include the products, quantity, stock location, destination, carrier requirements, transport method and any applicable documentation or regulatory requirements.

Where the parties agree to use a particular Incoterm or other delivery term, that term should be expressly identified in the applicable quotation, invoice, order confirmation or other transaction document.

Delivery or transit estimates, where provided, are estimates unless expressly agreed otherwise in writing. Transport schedules may be affected by carriers, customs procedures, destination requirements or other circumstances outside Silver Sky's direct control.

10. Inspection & Order Discrepancies

Business customers should review delivered or collected goods against the applicable order information and notify Silver Sky of any material discrepancy as soon as reasonably practicable after it is identified.

Any claim concerning quantity, model, specification, condition or another order discrepancy should include sufficient information to allow the matter to be reviewed.

The handling of a particular claim may also be subject to the warranty, return or other terms applicable to the relevant transaction.

11. Warranty, Returns & After-Sale Matters

Warranty coverage, where applicable, may vary according to the product, condition, batch or commercial agreement.

Any warranty period or return arrangement applicable to an order should be determined from the relevant product information, quotation, invoice, warranty policy or other written transaction terms.

No general statement on this page should be interpreted as creating a specific warranty period for every product sold by Silver Sky.

12. Taxes, Duties & Import Requirements

Taxes, customs duties, import charges, clearance costs and other governmental or destination-related charges may depend on the transaction, destination and agreed delivery terms.

Responsibility for such charges and requirements should be determined according to the commercial and shipping terms agreed for the relevant transaction.

Business customers purchasing goods for import into another jurisdiction are responsible for understanding the import requirements applicable at their destination unless a different responsibility has been expressly agreed in writing.

13. Customer & Supplier Information

Customers and suppliers are responsible for providing accurate business, contact, billing, shipping, product and transaction information when dealing with Silver Sky.

Silver Sky may request additional information where reasonably required to understand an enquiry, process a transaction, arrange shipping or meet applicable business or regulatory requirements.

14. Communications

Commercial communications may take place through email, telephone, WhatsApp, website forms or other communication channels used by the parties.

Customers should verify important commercial information, including payment instructions and material changes to an order, through the contact details or transaction documents provided by Silver Sky.

15. Limitation of Website Information

Silver Sky takes reasonable steps to present useful product and business information on its website. However, website content may be updated as inventory, pricing and business information changes.

Customers should not rely on general website content as a substitute for the specific commercial terms applicable to a confirmed transaction.

Where a material commercial detail is important to a purchase decision, the customer should request confirmation before finalizing the order.

16. Governing Law & Disputes

These Terms & Conditions and transactions entered into by Silver Sky are subject to the applicable laws and any governing-law or dispute-resolution provisions expressly agreed between the parties for the relevant transaction.

The parties should first attempt to resolve any commercial disagreement through direct communication and review of the applicable quotation, invoice, order confirmation and other transaction records.

Where a particular contract, quotation, invoice or other written agreement contains a specific governing-law, jurisdiction or dispute-resolution provision, that provision will apply subject to applicable law.

17. Changes to These Terms

Silver Sky may update these general Terms & Conditions from time to time to reflect changes to its website, commercial processes or business requirements.

The version published on the website should be reviewed when making a new enquiry or transaction. Changes to these general website terms do not by themselves alter specific terms already agreed in writing for an existing transaction.
